Job Title: Private Equity Venture Debt Senior Attorney
Location: Boston, MA (Hybrid/On-site)

About the Opportunity:
We are seeking a highly qualified Senior Attorney to join our Venture Capital Debt practice within our broader Debt Finance group. This is a unique opportunity to work at the intersection of private equity, venture capital, and innovative debt solutions alongside a collaborative, high-caliber legal team.

What You’ll Do:
- Represent borrowers and their investors in venture debt, growth capital, and similar financing transactions for both early- and late-stage companies
- Negotiate and draft loan agreements and related documentation
- Advise clients on transaction structures and support all aspects of deal execution
- Collaborate closely with M&A, corporate, and finance attorneys across Emerging Companies, Life Sciences, M&A, and Venture Capital practices
- Dedicate time to preparing and updating internal forms, leveraging AI-driven models to support the review and markup of term sheets, credit agreements, collateral documents, certificates, and customary credit deliverables

Requirements

What We’re Looking For:
- Juris Doctor JD) from an accredited law school and outstanding academic credentials
- Significant experience (ideally 7+ years) representing borrowers and investors in venture debt, growth capital, or similar financing transactions
- Strong background in drafting and negotiating loan documents and advising on transaction structures
- Excellent written and verbal communication skills
- Bar admission (or eligibility to obtain admission promptly) in New York

- Proven ability to work collaboratively across multiple practice areas and with cross-functional teams
- Experience or interest in leveraging AI-driven legal technology for document review and process optimization
