About the Role:
This position is for a Transactional Corporate Attorney with a minimum of three years of experience in corporate and real estate transactions. The role focuses on drafting, negotiating, and closing complex deals, including mergers and acquisitions, real estate transactions, and related corporate matters. The ideal candidate will demonstrate strong leadership in managing transaction teams, excellent drafting and analytical skills, and the ability to work collaboratively across multidisciplinary groups.
Responsibilities:
Draft, negotiate, and review agreements related to mergers and acquisitions, real estate transactions, joint ventures, and corporate restructurings.
Conduct legal due diligence and prepare detailed reports for potential acquisitions, investments, and dispositions.
Advise clients on corporate governance, compliance, and general business law matters.
Coordinate transaction processes, from term sheet development to closing documentation.
Represent public and private companies in a variety of corporate and real estate transactions.
Manage communication and collaboration with clients, internal teams, and external stakeholders.
Stay informed of changes in Arizona corporate and real estate law and ensure compliance in all transactional matters.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active membership in good standing with the State Bar of Arizona.
Minimum of three years of experience in corporate or transactional law.
Proven experience with mergers and acquisitions, real estate transactions, and corporate governance.
Excellent drafting, organizational, and analytical skills.
Strong verbal and written communication abilities.
Demonstrated ability to manage multiple transactions and meet deadlines.
Desired Qualifications:
Experience leading complex deals or serving as primary counsel on large-scale transactions.
Background in securities, finance, or commercial contracting.
Familiarity with entity formation, capitalization, and shareholder matters.
Strong business acumen and understanding of strategic deal structures.
Ability to build lasting client relationships through responsive and practical legal counsel.
